PERSONAL SEAT LICENSE AGREEMENT

SEAT HOLDER LEGAL NAME:

This Personal Seat License ("PSL") Agreement (this “Agreement”) is entered into by and between the PSL identified on page one of this Agreement (the “PSL Holder”) and Ridge Run Baseball, LLC dba Glacier Range Riders, its successors and assigns (“RRB”) as of the date first listed above. The PSL Holder hereby agrees to purchase the PSL specified on page one of this Agreement (the “PSL Terms”) for Glacier Range Rider (the “Team”) baseball games taking place at the baseball stadium currently known as “Flathead Field” (the “Stadium”). By signing this Agreement, the PSL Holder acknowledges that the PSL represents a non-transferable, revocable license subject to the terms and conditions set forth below (the “License”).

PERSONAL SEAT LICENSE

Each PSL represents a separate, non-renewable, revocable License which permits the bearer the right to: (a) purchase the season ticket each year of the term. (b) receive a reduced locked-in promotional season ticket rate for the 2025 - 2027 seasons. Notwithstanding the foregoing, RRB reserves the right to move or reseat any individual at any time as needed to ensure a safe and orderly game presentation, or otherwise in the event construction, weather or other causes outside the control of RRB require the closure of one or more seats or sections. The License is revocable at the sole and absolute discretion of RRB, with or without cause, including, but not limited to, failure to pay any amount when due. The License and/or any privileges the PSL Holder may have hereunder, shall not be assigned or transferred in any manner, whether voluntarily or by gift, bequest, or operation of law, by PSL Holder to any other person or entity without the express written consent of RRB. By accepting the License, PSL Holder acknowledges and agrees that it has no right or privilege to any tickets to any other event at the Stadium, including without limitation, concerts, non-baseball events, exhibitions, or postseason games played by the Team, and tickets to such events must be otherwise purchased by PSL Holder through their normal mode of distribution.

PAYMENT TERMS

The PSL Holder will make payments based on the payment terms and schedule each season set forth in the Season Ticket Terms. Payment is to be made in the form of credit card or check. Checks are to be made payable to Ridge Run Baseball, LLC. PSL Holder hereby authorizes payments to be automatically charged to credit cards on file or automatically drafted from your bank account at such times and in such amounts as are set forth on the Season Ticket Terms. Additional fees may apply depending on payment method and payment plan.

ASSUMPTION OF RISK

BASEBALLS, BATS, FRAGMENTS THEREOF OR OTHER OBJECTS MAY BE THROWN OR HIT INTO STANDS, CONCOURSES OR CONCESSION AREAS. PLEASE STAY ALERT AND BE AWARE OF YOUR SURROUNDINGS. Each bearer of a PSL and season tickets to attend a game at the Stadium assumes all risk incidental to the sport of baseball and any other event at the Stadium to which any ticket applies, whether occurring prior to, during or after the game or event, including (but not exclusively) the danger of being injured by or in connection with any broken or released bat, fragments thereof, or thrown or batted balls and agrees the Ridge Run Baseball, LLC, Ridge Run Concessions, LLC, Ridge Run Operator, LLC, MKR McDermott Lane, LLC, the Pioneer Baseball League and each of their respective parents, subsidiaries or affiliated entities, players, officers, members, managers, employees, partners, sponsors, or agents of the above entities shall not be liable for injuries or loss of personal property resulting from attending the Game or event.

FORCE MAJEURE

RRB shall not be deemed in default if its performance of its obligations hereunder is delayed or becomes impossible or impractical by reason of any changes, effects, circumstances or delays arising from any act of God, war, riot, insurrection, fire, earthquake, flood, explosion, strike or other labor dispute, construction delay, civil commotion, embargo, act of terrorism, epidemic, pandemic or other issue of public health and/or safety, act, regulation, order, decree or law of any government or agency thereof, or breakdown or failure of apparatus, equipment or machinery employed in its supply of said obligations (or any temporary stoppage for the repair, improvement or enlargement thereof) which is not a result of or caused by any action or inaction on the part of RRB in violation of any of its obligations under this Agreement, or any other cause beyond RRB’s control. In the event a game is canceled or moved to an alternate location due to inclement weather, a Force Majeure event or circumstances beyond the control of RRB, PSL Holder will be issued a voucher for an equivalent number of tickets to a future game. Tickets are not subject to any refund, shall bear no cash value and PSL Holder shall not earn interest on funds held by RRB.

DEFAULT AND REMEDIES

The failure by PSL Holder to pay when due any installment of the purchase price for the PSL or season tickets as outlined above, will result in interest that will accrue at ten percent (10%) per month on all past due amounts. In the event the past due account is placed in the hands of an attorney for collection, the PSL Holder agrees to pay all costs of collection, including attorney’s fees. In the event of any default or breach of this Agreement by PSL Holder, RRB, at its option, may do singly or collectively any of the following:

Revoke the use of tickets after the date of such default or breach (or any then undistributed portion thereof) and deny PSL Holder admission to the Stadium indefinitely or until the default or breach is cured, whichever RRB deems appropriate. If the PSL Holder terminates this Agreement prior to the end date, PSL Holder will forfeit the right to the use the seats and any and all tickets/parking passes purchased, and RRB has the immediate right to resell the seats. PSL Holder shall not be entitled to any refund of any fee whatsoever. PSL Holder will be required to provide any and all cancellation requests in writing to the RRB and all cancellation policy payments must be received within ninety (90) days of final invoice from the RRB. If RRB does not receive payment in full of such invoice by the due date thereof, the unpaid portion shall bear interest at a rate equal to fifteen percent (15%) per annum, calculated from the due date of such payment until paid in full. The foregoing remedies of RRB shall be cumulative and not to the exclusion of any other right or remedy set forth herein. No waiver by RRB of any breach or default by PSL Holder hereunder shall be construed to be a waiver or release of any other or subsequent breach or default by PSL Holder hereunder, and no failure or delay by RRB in the exercise of any remedy provided for herein shall operate as or be construed to constitute a forfeiture or waiver thereof or of any other right or remedy lawfully available to RRB.

MISCELLANEOUS

Any dispute/controversies/claim arising out of /relating to this Agreement/these terms shall be resolved by binding arbitration, solely on an individual basis, in Kalispell, Montana. PSL Holder and RRB agree not to seek class arbitration and class claims and the arbitrator(s) may not consolidate more than one (1) person's claims.

This Agreement shall be governed by and construed in accordance with the laws of the State of Montana, without reference to principles of conflicts of law. Any suit or action filed or otherwise commenced in connection with this Agreement must be filed and litigated in an appropriate court located in the City of Kalispell, Montana (provided, however, that if the suit or action involves a claim for which federal courts have exclusive jurisdiction, then such suit or action must be filed in the U.S. District Court for the District of Montana).

PSL Holder agrees to defend, indemnify and hold harmless RRB, RRB’s affiliates and its respective shareholders, partners, officers, directors, employees, successors, assigns, representatives and agents (collectively, the “Indemnified Persons”) from and against any and all claims, suits, actions, monetary damages, losses, liabilities, fines, fees, penalties, costs and expenses (“Losses”), and all reasonable attorneys’ fees and expenses, including court costs and expert witness fees and costs, incurred in connection with Losses and/or enforcement of this Agreement, resulting from or arising out of any breach by either party of its representations, warranties and/or obligations under this Agreement.

The terms of this Agreement are severable. In the event any provision of this Agreement is held illegal or unenforceable, such provision shall be severed and shall be inoperative and may be replaced or modified by RRB with a similar term which complies with existing law. In such case, the remaining terms and conditions shall not be affected, and, provided that the fundamental terms and conditions of this Agreement remain legal and enforceable, the remainder of this Agreement shall remain operative and binding.

This Agreement may be executed in multiple counterparts, and on separate counterparts, each of which shall be deemed an original, but all of which taken together shall constitute one and the same instrument.

This Agreement is intended only for the benefit of the parties hereto, the affiliates of RRB and any successors, permitted assigns or substitutes as expressly provided for in this Agreement, no other person or entity is intended to be benefited in any way by this Agreement and this Agreement shall not be enforceable by any other person or entity. The parties hereto acknowledge and agree that rights vested in RRB under this Agreement shall be deemed vested in RRB and its affiliates and that obligations of RRB under this Agreement may be satisfied by RRB or any of its affiliates (provided that RRB shall remain responsible for the performance of such obligations).

Each party executing this Agreement agrees that electronic signatures (whether PDF, scanned, digital, encrypted, captured or otherwise attached or imposed hereto) are intended to authenticate this Agreement and to have the same force and effect as manual signatures. The individual executing this Agreement on behalf of PSL Holder has the authority to bind PSL Holder to the terms and conditions of this Agreement.
